Kurt D. Olender
Kurt D. Olender focuses on the representation
of companies in all facets of their business, including
corporate formation and structure, business strategy
and deal negotiation (merger and acquisition and capital
raising), complex contract negotiation and drafting (including
joint venturing, licensing, development and services
agreements) and protection of intellectual property (including
trademark registration and prosecution, copyright, and
computer and technology law). He represents primarily
closely held companies in a variety of industries, including
retail, construction, real estate, pharmaceutical, manufacturing
and computer technologies.
Kurt assists clients in all stages of their business growth, providing services
relating to corporate formation and strategy for business development, capital
raising and asset/technology acquisition, maintenance and growth of existing
business, shareholder, operating and buy-sell agreements, succession planning,
and sale of the company or its assets. He has negotiated and consummated
numerous merger and acquisition transactions, joint ventures and venture capital
investments. In addition, Kurt assists clients in the formation and implementation
of equity based employee compensation plans and structuring employment agreements
for management and key employees.
Kurt also specializes in commercial and intellectual property litigation, representing
clients before the U.S. Patent and Trademark Office, and State and Federal courts
in commercial, construction, corporate and intellectual property matters. By
combining his litigation experience with his background in negotiating and drafting
complex transactions, Kurt provides a higher level of representation through
his awareness and understanding of the business aspects of each client's business.
Kurt was formerly a Partner at ReedSmith, LLP, one of the largest law firms in
the world. He earned his B.A. in economics from the University of Rochester
and his J.D. from the Syracuse College of Law. He is admitted to practice
before the State and Federal Courts in New Jersey and New York, and is a member
of the New Jersey, New York and American Bar.
