Ryan Carroll is Counsel in OlenderFeldman's Corporate and Transactional department. Ryan has over a decade of experience and billions of dollars in transacted value in mergers and acquisitions, venture capital financings, business formations, ordinary course corporate work, including corporate governance, equity incentives, investments and contract drafting and negotiations. Ryan exclusively advises clients that need counsel who understands both the law and their business to help reduce risk while capturing value.
While industry agnostic, Ryan has extensive experience in the technology, professional services and financial services market sectors. Ryan represents both buy and sell side clients in their small to mid-market private mergers and acquisitions, issuers and investors in venture capital and angel financings and founders of startups and small businesses. Ryan routinely works with boards of directors, chief executive officers and other company executives, managing directors and presidents of companies on all aspects of their business lifecycle and operations.
Ryan represents clients on everything from large scale transactions, including +$500M M&A events, +$100M venture financing events and IPO/SPACs, to smaller more routine corporate and financial transactions such as convertible notes and SAFE investments. Additionally, Ryan advises clients on general entity formation strategy and general business operations.
Prior to joining the firm, Ryan was a senior managing associate at a major international law firm, an M&A and corporate associate at a prominent “big law” firm and an associate at a boutique law firm that handled complex corporate matters. In addition to practicing law, Ryan is an Adjunct Professor at New England Law | Boston where he teaches Contracts Drafting and routinely speaks at and holds office hours at NYU regarding matters related to startups, business formation, initial equity allocation, operating businesses, SAFE and convertible note financings, venture capital financing and exit strategies.
Ryan received his MBA from NYU Stern, his JD from New England Law | Boston and his undergraduate degrees in finance and economics from Rutgers. Ryan is licensed to practice law in the states of New York and New Jersey and the Commonwealth of Massachusetts.
